Terms of Use & License

These Terms of Use and End User License Agreement (the "Terms") are a legal agreement between you ("you" or "your") and Leadgenusa, LLC ("Leadgenusa," "we," "us," or "our") governing your access to and use of the NoteRescue software application (the "App") and the NoteRescue website (the "Site"). By downloading, installing, purchasing, or using the App or Site, you agree to these Terms. If you do not agree, do not use the App or Site.

1. License Grant

Subject to your compliance with these Terms and payment of any applicable fees, Leadgenusa grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your own personal or internal business use.

2. License Restrictions

You may not, except to the extent expressly permitted by applicable law:

sell, rent, lease, sublicense, redistribute, or otherwise transfer the App or your license to any third party;
copy the App except as reasonably necessary for your own backup or use;
reverse engineer, decompile, or disassemble the App, or attempt to derive its source code;
modify, adapt, or create derivative works of the App; or
remove, alter, or obscure any copyright, trademark, or other proprietary notices.

3. Ownership

The App and Site, including all software, code, designs, text, graphics, logos, and other content, are owned by Leadgenusa, LLC or its licensors and are protected by copyright, trademark, and other laws. These Terms grant you a license to use the App, not any ownership of it. All rights not expressly granted are reserved.

4. Your Content and Data

The App works with data that already exists on your own device — your unsaved Notepad tabs and the text files it saves. You retain all rights to your content. The App runs locally and does not send your content to us (see our Privacy Policy).

You are responsible for your own data and backups. The App can, at your direction, save files, close Notepad, and permanently remove ("discard") unsaved tabs from Notepad. You are responsible for reviewing your selections before performing these actions. We are not responsible for any note, file, or data that is lost, overwritten, or removed as a result of your use of the App.

5. Purchases, Pricing & Refunds

NoteRescue is offered as a one-time purchase. Payments are handled by a third-party storefront (such as the Microsoft Store or another authorized platform), and your purchase is also subject to that platform's terms and refund policy. Prices may change, but any change will not affect a purchase you have already completed. Refunds, where available, are generally handled by the storefront through which you purchased.

6. Updates

We may release updates, bug fixes, or new versions of the App from time to time. We are not obligated to provide updates, support, or maintenance, and any updates provided are governed by these Terms unless accompanied by separate terms.

7. Disclaimer of Warranties

The App and Site are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Leadgenusa does not warrant that the App will be uninterrupted, error-free, or that it will recover, extract, or preserve any particular note or file. You use the App at your own risk.

8. Limitation of Liability

To the maximum extent permitted by law, Leadgenusa, LLC and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, notes, profits, or goodwill, arising out of or relating to your use of (or inability to use) the App or Site, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total liability for any claim relating to the App or Site will not exceed the amount you paid for the App.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Termination

This license is effective until terminated. It terminates automatically if you breach these Terms. Upon termination, you must stop using the App and delete all copies. Sections that by their nature should survive termination (including Ownership, Disclaimers, Limitation of Liability, and Governing Law) will survive.

10. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located in Texas, to the extent permitted by applicable law.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and post the updated Terms on this page. Your continued use of the App or Site after an update means you accept the revised Terms.
